Employee Experience Magazine Directory
Version 2.0 · August 2026
This Supplier Listing Agreement (“Agreement”) is made between ES People & Change Ltd, a company registered in England and Wales under company number 12331980, whose registered office is at The Glades, Festival Way, Festival Park, Stoke-on-Trent, Staffordshire, ST1 5SQ, trading as Employee Experience Magazine (“we”, “us”, “our” or “EmExMag”), and the organisation named in the Order (“you”, “your” or the “Supplier”).
By placing an Order and paying the Fee, you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
1. Definitions
“Directory” means the Employee Experience supplier directory published by us at emexmag.com and any successor or replacement platform.
“Fee” means the annual fee for your Listing, as set out in the Schedule and confirmed in your Order.
“Founding Rate” means the discounted first-year rate in the Schedule.
“Listing” means your supplier profile published in the Directory.
“Listing Year” means each 12-month period of your membership, beginning on the Start Date and on each anniversary of it.
“Order” means the checkout page, order form, invoice or written confirmation recording your purchase, the Fee, the currency and the Start Date.
“Standard Rate” means the non-discounted annual rate in the Schedule, as varied under clause 12.5.
“Start Date” has the meaning given in clause 6.3.
“Supplier Content” means everything you provide for use in the Directory, including your descriptions, logo, images, website URL, contact details, staff names and any other material.
In this Agreement, “including” means “including without limitation”. Headings do not affect meaning.
2. The Agreement
2.1 This Agreement, your Order, our privacy policy and the Schedule are the entire agreement between us for your Listing.
2.2 If there is any conflict, the order of precedence is: this Agreement; the Order; the Schedule; then any sales page, brochure, email or other marketing material. Marketing material describes the service. It is not a contractual promise.
2.3 We may offer separate promotional, advertising, sponsorship or editorial packages. Those are bought under a separate order.
3. Business suppliers only
3.1 The Directory is a business-to-business service. You confirm you are buying your Listing for the purposes of your trade, business or profession and not as a consumer, and that consumer cancellation rights, including those under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, do not apply.
3.2 If a court or regulator nonetheless finds you to be a consumer, nothing in this Agreement removes any right you have that cannot lawfully be removed, and the rest of this Agreement continues to apply so far as it lawfully can.
4. What your Listing includes
4.1 For each Listing Year, and provided your Fee is paid, your Listing includes:
- a professionally managed supplier profile in the Directory;
- a description of your services, expertise and key use cases;
- placement in relevant Directory categories and inclusion in challenge-based discovery;
- your logo, imagery and a link to your website;
- your contact details and the ability to receive direct enquiries from Directory users;
- visibility within a curated Employee Experience supplier marketplace.
4.2 We charge no commission and no fee per lead or enquiry.
4.3 We decide, acting reasonably, which categories, tags and discovery routes your Listing appears under, where it sits within them, and how the Directory presents, orders, filters and ranks listings. Placement and ranking are not fixed and may change.
4.4 We publish current format requirements for Supplier Content, including field lengths and image specifications, on our website. We may update them where needed to keep the Directory consistent and usable.
5. What your Listing does not include
5.1 A Listing does not include or guarantee any editorial coverage. Articles, features, interviews, awards, round-ups, newsletter placements and social media posts are editorial, are decided by us alone, and are not part of the Fee.
5.2 Many suppliers do benefit from being showcased through our Directory marketing, and we may include your Listing in it. That inclusion is discretionary, is not promised as part of this package, and no part of the Fee is attributable to it. Guaranteed promotion is available separately.
5.3 A Listing does not include exclusivity. We may list your competitors, including in the same categories.
6. Review, go-live and Start Date
6.1 Every Listing is reviewed by us before it goes live. We may ask you for clarification, evidence or amendments first.
6.2 We will publish your Listing as soon as reasonably possible after we have received everything we need from you. How quickly that happens depends on you providing complete and accurate Supplier Content, and we do not commit to a fixed publication date.
6.3 Your Start Date, from which your Listing Year runs, is the earliest of:
- the date your Listing is published in the Directory;
- where you order before the Directory launches publicly, the date of that public launch; and
- the date three months after we receive your Fee, if your Listing has not been published by then because you have not provided the Supplier Content we need.
6.4 We may decline to publish a Listing that does not fit the Directory, that we cannot verify, or that we consider inaccurate, misleading, unlawful or damaging to the Directory’s credibility. If we decline at the outset, we will refund your Fee in full, this Agreement will end, and that refund is your sole remedy.
7. Your obligations
7.1 You will:
- provide complete, accurate and up-to-date Supplier Content, and correct anything that becomes inaccurate within 14 days of becoming aware;
- tell us promptly if you cease trading, are sold, enter an insolvency process, change name, or stop offering the services described in your Listing;
- hold all licences, registrations, insurances and accreditations your services require, and provide evidence on request;
- comply with all laws that apply to you and your services, including consumer protection, advertising, data protection, anti-bribery and applicable sanctions laws;
- not make claims you cannot substantiate, including claims about results, client names, accreditations or awards;
- not state or imply that we endorse, recommend, rank, vet, accredit or guarantee you or your services, or that your Listing is anything other than a paid listing;
- not publish content that is unlawful, defamatory, discriminatory, deceptive or infringing, or that contains malware;
- not scrape, copy, republish, resell or extract any part of the Directory, including other suppliers’ listings, or use it to build a competing product;
- not send unsolicited marketing to other suppliers or to Directory users, other than in direct response to an enquiry made to you.
7.2 You are solely responsible for your services, for the accuracy of your Listing, and for your dealings with anyone who contacts you through the Directory.
8. Your content and the licence you give us
8.1 You keep ownership of your Supplier Content and all intellectual property rights in it.
8.2 You grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, reproduce, publish, display, adapt, format, excerpt, promote, distribute and archive your Supplier Content in the Directory, in our newsletters, social media, marketing and Directory campaigns, and in any successor or partner platform, for the purpose of operating, delivering and promoting the Directory and your Listing.
8.3 Any editing, formatting or cropping we do is a matter of presentation and does not transfer ownership to us.
8.4 When your Listing ends, the licence in clause 8.2 ends for future publication of your profile, subject to clause 18.6.
8.5 You warrant that you own or are licensed to use everything in your Supplier Content, including images, logos, fonts, third-party trade marks, client names and testimonials, and that publishing it will not infringe anyone’s rights or breach any law or duty of confidence.
9. Our intellectual property
9.1 We own, or are licensed to use, all intellectual property rights in the Directory, including its structure, categories, taxonomy, challenge framework, database rights, design, software, and the Employee Experience Magazine and EmExMag names and marks. Nothing here transfers any of those rights to you.
9.2 While your Listing is live and your Fee is paid, we grant you a non-exclusive, non-transferable, revocable licence to use any badge or wording we supply, for example “Listed in the EmEx Mag Directory”, on your own website and marketing, solely to show that you hold a current Listing and in line with any brand guidelines we issue. That licence ends when your Listing ends or is suspended, and you must remove the badge within 14 days.
9.3 You must not use our name or marks in any way that suggests endorsement, accreditation, partnership or editorial approval.
10. Enquiries
10.1 Directory users can contact you using the details in your Listing, or through an enquiry form where we provide one.
10.2 We do not screen, verify or qualify enquirers, and we make no promise about the number, source, quality, relevance, timing or commercial value of enquiries. We are not a party to, agent for, or broker of any arrangement between you and an enquirer, and we take no commission on business that results.
10.3 Where you receive personal data through an enquiry, you act as an independent controller of that data and are responsible for your own compliance with data protection law in handling it.
11. Editorial independence and results
11.1 We retain sole and final editorial control over all editorial content, including its subject, format, wording, tone, scheduling, placement, amendment and removal. We may remove, amend or decline to publish content where we consider it necessary for legal, regulatory, accuracy or editorial reasons.
11.2 Your Fee buys the Listing described in clause 4. It does not buy, and cannot buy, editorial coverage, a favourable mention, a review, a ranking, an endorsement, or influence over any editorial decision.
11.3 We do not promise any particular level of impressions, page views, clicks, search ranking, enquiries, leads, introductions, meetings, sales or revenue. Any figures we have given about Directory traffic or audience are indicative only and are not a forecast of your results.
11.4 You confirm you have not relied on any statement, promise or representation about likely results in deciding to buy your Listing.
12. Term, renewal and price
12.1 This is an annual subscription that renews automatically. Please read this clause carefully.
12.2 Your Listing runs for 12 months from the Start Date. At the end of each Listing Year it renews automatically for a further 12 months at the Standard Rate then in force, plus tax where applicable, unless you cancel first under clause 13. The Founding Rate applies to your first Listing Year only, and every renewal is at the Standard Rate, which is materially higher.
12.3 We will email you a renewal reminder at least 30 days before each renewal date, to the address on your account. It will confirm the renewal date, the amount and currency, how we will collect payment, and how to cancel.
12.4 We will collect the renewal Fee by either:
- issuing a renewal invoice, payable within 14 days of the invoice date; or
- where you have asked us to keep a payment card on file and have authorised recurring charges, charging that card on or after the renewal date.
We will tell you which in the reminder. We do not require you to store a card, and invoicing is our default method unless you have asked otherwise.
12.5 We may change the Standard Rate for future Listing Years. We will tell you the new price in the reminder sent under clause 12.3. If you do not want to renew at that price, cancel under clause 13 before your renewal date and you will not be charged. We will not change the price of a Listing Year already paid for.
13. Cancelling
13.1 You may cancel at any time. Cancellation takes effect at the end of your current Listing Year, and your Listing stays live until then.
13.2 To stop the next renewal, email directory@emexmag.com with the words “cancel listing” and your organisation name, at least 14 days before your renewal date. Cancelling is a single step: we will not require you to call us or take part in a retention conversation, and we will confirm by email.
13.3 Cancelling part-way through a Listing Year does not end that year early and does not entitle you to any refund or credit. There are no pro-rata refunds. This reflects that the Listing is supplied as an annual place in a curated directory and our costs are incurred at the start of the year.
14. Fees, currency and payment
14.1 The Fee is set out in the Schedule and confirmed in your Order. It is payable annually in advance.
14.2 Most suppliers pay by invoice. We will issue an invoice for each Listing Year. Invoices are payable within 14 days of the invoice date, and your Listing will not be published, or will not continue, until payment is received in cleared funds.
14.3 You may pay by bank transfer or by card using the payment options shown on your invoice. Card payments are processed by Stripe on our behalf under its own terms and privacy notice. We do not store your full card details.
14.4 Where you ask us to keep a card on file, clause 12.4(b) applies. You can withdraw that authority at any time by emailing us, and we will invoice you instead.
14.5 Currency. Fees are payable in either pounds sterling or US dollars. The currency is fixed at the point of your Order by reference to the billing country you give us and applies to that Listing Year and each renewal unless we agree otherwise in writing. The sterling and dollar rates are separate prices, not conversions of each other, and we do not adjust either for exchange rate movements.
14.6 All amounts are payable without deduction, set-off or counterclaim. Bank charges, card fees and currency conversion costs are your responsibility.
15. Tax
15.1 Sterling fees are stated exclusive of VAT. Where UK VAT applies we will add it at the prevailing rate and show it separately on your invoice. Our VAT registration number is GB 337 3136 12.
15.2 Suppliers outside the UK. Our supply is an advertising and directory listing service, so for business customers established outside the UK the place of supply is where you are established and we do not charge UK VAT. Where a reverse charge or equivalent mechanism applies in your country, you are responsible for accounting for it, and you will give us your VAT, GST or equivalent registration number on request.
15.3 Dollar fees are stated exclusive of any US federal, state or local sales, use or similar taxes. We are not registered to collect US sales or use tax and do not charge it. You are responsible for assessing and paying any such tax arising in your own jurisdiction.
15.4 If we become required to collect any tax on your purchase, we may add it from your next renewal on at least 30 days’ written notice.
15.5 If you are required by law to withhold or deduct any amount from a payment to us, you will increase the payment so that we receive the full amount we would have received had no deduction been required.
16. Late or failed payment
16.1 Time for payment is of the essence. We may suspend or remove your Listing while any amount is overdue. Suspension does not extend your Listing Year, reduce your Fee or entitle you to a refund.
16.2 If an invoice is not paid by its due date we may charge interest on the overdue amount: for sterling Fees, at the rate provided for by the Late Payment of Commercial Debts (Interest) Act 1998, together with the fixed sum compensation and recovery costs that Act allows; and for dollar Fees, at 1.5% per month or the maximum rate permitted by law if lower, accruing daily until payment in full. We may also recover our reasonable costs of collection, including debt recovery and legal costs.
16.3 If a card payment on file is declined, we will email you and may try again. If payment has not been received within 14 days of the first attempt, clause 16.1 applies.
16.4 If you dispute a charge, contact us first at directory@emexmag.com so we can try to resolve it. If you raise a chargeback for a charge properly made under this Agreement, we may suspend or remove your Listing immediately and treat the amount as an overdue debt under clause 16.2, together with any fee our payment provider charges us in connection with the dispute. This does not prevent you raising a genuine dispute about an incorrect or unauthorised charge.
17. Refunds
17.1 Apart from clauses 6.4, 17.2, 18.3 and 18.5, Fees are non-refundable. There are no pro-rata refunds, no refunds for unused time, and no refunds where you stop using or stop wanting your Listing.
17.2 Renewal goodwill window. If a renewal payment is taken from a card on file and you tell us within 14 days of the charge that you did not want to renew, we will refund it in full and your Listing will end. This applies to card renewal charges only and once per renewal.
17.3 Refunds are made in the currency paid, to the original payment method.
18. Changes, suspension and termination
18.1 The Directory will develop. We may change its design, structure, categories, taxonomy, navigation, URLs, functionality and features, and may add, move, merge or retire categories. We will not make a change during a paid Listing Year that removes a materially significant element of clause 4 without either offering a reasonable equivalent or refunding the unused portion of your Fee for that year.
18.2 We do not promise that the Directory will be available uninterrupted or error-free. Short periods of unavailability, including for maintenance, do not entitle you to a refund.
18.3 If we permanently discontinue the Directory during a paid Listing Year, we will refund the unused portion of your Fee on a pro-rata monthly basis and this Agreement will end. That refund is your sole remedy.
18.4 We may suspend or remove your Listing, or end this Agreement, immediately on written notice if: you materially or repeatedly breach this Agreement and, where the breach can be put right, do not put it right within 14 days of us asking; your Supplier Content is inaccurate, misleading or unlawful and you do not correct it within 14 days of us asking; any Fee is overdue and remains unpaid 14 days after we tell you; your conduct, or that of anyone acting for you, could in our reasonable opinion damage the credibility or reputation of the Directory; you cease trading or become subject to an insolvency process; you become subject to sanctions or listing you would put us in breach of any law; or we are required to act by a court, regulator or credible legal complaint. No refund is due if we act under this clause, and Fees for the current Listing Year remain payable in full.
18.5 You may end this Agreement immediately on written notice if we materially breach it and do not put it right within 30 days of you asking. If we end this Agreement for any reason other than one in clause 18.4, or if you end it under this clause, we will refund the unused portion of your Fee for the current Listing Year on a pro-rata monthly basis.
18.6 When this Agreement ends, your Listing will be removed from the Directory at or shortly after the end of your final Listing Year, and the badge licence in clause 9.2 ends. We may keep copies of your Supplier Content in our records, backups and archives, and in editorial or marketing material already published, for as long as we reasonably need to. We are not required to alter or retract material already published or distributed, or to remove your Supplier Content from search engine caches, web archives or copies we do not control.
18.7 Clauses 7.2, 8.5, 9, 11, 15, 16, 17, 18.6, 19, 20, 21, 22 and 23, and any clause that by its nature is intended to survive, survive the end of this Agreement. Ending this Agreement does not affect rights or liabilities already accrued.
19. Warranties and your indemnity
19.1 You warrant that you have authority to enter into this Agreement; that all information you give us is accurate, complete and not misleading; that you have all rights and consents needed for us to use your Supplier Content as set out in clause 8; and that where your Supplier Content includes personal data of individuals other than yourself, such as named staff or clients, you have a lawful basis for providing it to us for publication and have told those individuals their details will be published.
19.2 You will indemnify us against all losses, damages, liabilities, fines, costs and reasonable legal expenses we incur arising out of or in connection with: any claim that your Supplier Content infringes a third party’s rights or is defamatory, misleading or unlawful; any claim brought by a Directory user, enquirer or client of yours relating to your services or conduct; or your breach of clause 7 or clause 19.1.
19.3 We will tell you promptly about any claim covered by clause 19.2, will not settle it without your consent (not to be unreasonably withheld or delayed), and will give you reasonable assistance at your cost.
19.4 Other than as expressly set out in this Agreement, and to the fullest extent permitted by law, all warranties, conditions and terms implied by statute or common law are excluded. The Directory and your Listing are provided on an “as is” and “as available” basis.
20. Our liability
20.1 Nothing in this Agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
20.2 Subject to clause 20.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, opportunity, anticipated savings, goodwill or reputation; loss or corruption of data; wasted management or staff time; loss arising from any enquiry, lead or business relationship, or the absence of any; loss arising from your reliance on content in the Directory supplied by another supplier; or any indirect or consequential loss, in each case whether or not we were told such loss might arise.
20.3 Subject to clause 20.1, our total aggregate liability in any 12-month period is limited to the total Fees you actually paid us in the 12 months immediately before the event giving rise to the claim, in the currency you paid. This limit reflects the level of the Fee, the nature of the service and the fact that we do not promise commercial results.
20.4 The limits in clauses 20.2 and 20.3 do not apply to your obligations under clause 19.2 or to any Fees you owe us.
20.5 You must bring any claim under this Agreement within 12 months of the date you became, or should reasonably have become, aware of the circumstances giving rise to it.
21. Data protection
21.1 Each party acts as an independent controller of personal data processed under this Agreement. Neither party is the other’s processor.
21.2 We process your contact, account and billing details to administer your Listing, take payment, provide support, send service and renewal notices, send you relevant information about the Directory, and comply with our legal obligations. Our privacy policy at emexmag.com/directory-privacy explains this in full.
21.3 Your Listing is published to the public and will include the contact details you give us. You choose what to publish, and clause 19.1 applies to any individual’s details you ask us to publish.
21.4 Where personal data is transferred between the UK, the EEA, the United States or elsewhere, each party will ensure a lawful transfer mechanism is in place for the transfers it makes. Each party will tell the other without undue delay about any personal data breach materially affecting personal data shared under this Agreement, and will cooperate reasonably in responding to it.
22. General
22.1 Force majeure. Neither party is liable for failure or delay in performing its obligations, other than an obligation to pay money, caused by an event beyond its reasonable control. If such an event continues for more than 60 days and materially prevents delivery of your Listing, either party may end this Agreement on written notice and clause 18.5 will apply.
22.2 Notices. Notices may be given by email: to you at the address on your account, and to us at directory@emexmag.com. An emailed notice is treated as received at 9.00am on the next working day after sending, unless the sender receives a delivery failure message. Notices about legal proceedings must also be sent by post to our registered office. You must keep your account email address current, and we are not responsible for a renewal notice you do not receive because your address is out of date or our email is filtered as spam.
22.3 Changes to these terms. We may update this Agreement, for example to reflect changes to the Directory or to the law. Changes take effect at the start of your next Listing Year, and we will tell you about any material change at least 30 days before your renewal date so you can cancel under clause 13 if you do not accept it. We may make a change during a Listing Year where required by law or where it is administrative and does not materially reduce your rights.
22.4 Confidentiality. Neither party will disclose the other’s non-public commercial information, including pricing that is not publicly advertised, except to staff and advisers who need to know it or where required by law. This does not apply to Supplier Content, which is provided for publication. We may name you as a Directory supplier and use your logo in our marketing while your Listing is live.
22.5 Assignment. We may assign, novate or transfer this Agreement, including as part of a sale or reorganisation of our business or the Directory, on notice to you. You may not assign or transfer it without our written consent, which we will not unreasonably withhold where your business is sold and the successor meets our listing criteria. We may use subcontractors and third-party platforms to deliver the Directory and remain responsible for our obligations.
22.6 Entire agreement and non-reliance. This Agreement replaces all previous agreements and understandings about the Directory, including any Featured Consultant Membership Agreement and any Featured Provider Membership Agreement. Each party confirms it has not relied on any statement, representation, assurance or warranty not set out in this Agreement, and that its only remedy for any statement that is set out here is for breach of contract. Nothing in this clause limits liability for fraud.
22.7 Other. Any variation must be agreed in writing, except as clause 22.3 allows. A failure or delay in enforcing a right is not a waiver of it. If any provision is unenforceable it will be modified to the minimum extent necessary, or deleted, and the rest is unaffected. Nothing here creates a partnership, joint venture, employment or agency relationship. A person who is not a party has no right to enforce this Agreement under the Contracts (Rights of Third Parties) Act 1999. Acceptance at checkout, by clicking to agree, or by paying the Fee has the same effect as a signature.
23. Governing law and disputes
23.1 This Agreement, and any dispute or claim arising out of or in connection with it, including non-contractual ones, is governed by the law of England and Wales.
23.2 The courts of England and Wales have exclusive jurisdiction, and each party irrevocably submits to that jurisdiction. This applies wherever you are based, including in the United States.
23.3 Clause 23.2 does not deprive you of the protection of any provision of the law of your own country that cannot be derogated from by agreement.
