1. Who this agreement is between

This Featured Consultant Membership Agreement ("Agreement") is between ES People & Change Ltd (company number 12331980, VAT number 337313612), whose registered office is at The Glades, Festival Way, Festival Park, Stoke-on-Trent, Staffordshire, England, ST1 5SQ, trading as Employee Experience Magazine Directory ("EmExMag", "we", "us"), and the individual practitioner named at checkout or on the relevant invoice ("Member", "you"). By buying a Featured Consultant membership, you agree to these terms.

2. What you get

Your membership includes:

  • a reviewed directory profile listing you as an independent practitioner; and
  • one article, contributed by you, published during your first membership year.

After year one you remain listed in the directory and may be included in editorial round-ups at the editor's discretion, with no guaranteed article. Full details are shown on the sales page when you buy. If the sales page and this Agreement differ, this Agreement applies.

3. Founding rate and renewal price

3.1 Your first year is charged at the founding rate of £99, plus VAT where applicable.

3.2 The founding rate applies to your first twelve-month term only. Your membership then renews at the list price of £150 per year, plus VAT where applicable.

3.3 The published article in section 2 is included in your first membership year only.

By buying, you confirm you understand that the founding rate is for your first year, that renewal is at £150 per year, and that the guaranteed article is for the first year only.

4. You are buying as a business

You confirm you are buying this membership for your business, including as a sole trader or independent practitioner, and not as a consumer.

5. Term and auto-renewal

5.1 Your membership runs for twelve months from your first payment (the "Membership Year").

5.2 It renews automatically for further twelve-month periods, and we charge your payment method at each renewal, unless you cancel.

5.3 We will email you a renewal reminder at least thirty days before each renewal date, and it will confirm the renewal price.

6. Cancelling and refunds

6.1 You can cancel at any time, effective at the end of your current Membership Year. To avoid being charged for the next year, you must cancel before your renewal date by emailing us at contact@emexmag.com or through your Stripe customer portal.

6.2 Cancellation requests received on or after the renewal date take effect at the end of the renewed Membership Year.

6.3 If you cancel part-way through a Membership Year, or after a renewal has been charged, you are not entitled to a refund for the unexpired part of that year.

6.4 Apart from the refunds in section 9 (declined listings), section 13.2 (if we fail to publish your article) and section 15.2 (if we end for convenience), membership fees are non-refundable.

7. Price and payment

7.1 New members start at the founding rate of £99 for the first year. The first renewal is at the list price of £150, as set out in section 3. Both exclude VAT, which is added where applicable.

7.2 Each renewal after the first renewal will be charged at the previous Membership Year's price, increased by the greater of 3% and the latest annual UK Consumer Prices Index percentage published by the Office for National Statistics when we send your renewal reminder.

7.3 We will confirm the renewal price in your renewal reminder at least thirty days before it takes effect, so you can cancel before the renewal if you do not want to continue.

7.4 You can pay by card through Stripe. Invoices may be available on request and are due within fourteen days.

8. If you don't pay

8.1 If a card payment fails, we may retry it and will email you so you can update your details.

8.2 If your payment fails or an invoice is unpaid, we may unpublish your profile so it does not appear in the directory until payment is received. We will email you before we do this.

8.3 If an amount remains unpaid after its due date, we may charge statutory interest and recover compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, where that legislation applies.

8.4 If an amount is unpaid more than thirty days after it was due, we may end your membership under section 15.

8.5 When you pay what is owed, we will restore your profile unless your membership has already been ended under section 15.

9. Reviewing and declining listings

Your profile is reviewed before publication. We may decline a listing that does not fit the directory. If we decline your listing at the start of your membership, we will refund your payment in full.

10. Your content and the licence you give us

10.1 You keep ownership of the content you give us, including your bio, headshot and articles.

10.2 You give us a worldwide, royalty-free licence to publish, promote, adapt and archive that content on our website, in our newsletter and on our social channels, to deliver your membership. Published articles may stay live after your membership ends.

10.3 You are responsible for keeping your profile up to date.

11. Your promises and indemnity

11.1 You confirm that everything you give us is accurate, that you have the right to give it to us, and that it does not break any law or infringe anyone else's rights.

11.2 You will indemnify us against reasonable losses, liabilities, costs and third-party claims arising directly from your breach of section 11.1.

12. Editorial control

We keep final control over the format, wording, scheduling and publication of all editorial content, including your article. Your payment guarantees your profile and the agreed feature. It does not buy a favourable review or endorsement.

13. Publishing your first-year article

13.1 We will publish your contributed article within your first Membership Year, provided that you comply with sections 13.4 and 13.5.

13.2 If you provide all requested materials and approvals on time and we do not publish the article within your first Membership Year, you can choose either a free extension until we publish it, or a refund of a fair proportion of your fee.

13.3 If publication is delayed because you have not given us your article, requested revisions, supporting materials or approvals on time, that does not count as a failure on our part.

13.4 You must submit the article and any requested materials or approvals within your first Membership Year and by any reasonable deadline we give you. If you do not do so, the article entitlement expires at the end of that Membership Year, does not carry forward and does not entitle you to a refund or credit.

13.5 We may require you to revise or replace content that is inaccurate, unlawful, defamatory, excessively promotional, infringes another person's rights or does not meet our reasonable editorial standards.

13.6 If you do not provide revised or replacement content within your first Membership Year, section 13.4 applies.

14. No guaranteed results

We do not promise any particular number of views, clicks, enquiries, leads or sales.

15. Suspending or ending your membership

15.1 We may suspend or end your membership if you seriously or repeatedly break these terms, if your content is inaccurate or misleading and you do not correct it when asked, if you do not pay (see section 8), or if your conduct could damage the directory's credibility. No refund is due in these cases.

15.2 If we end your membership for any other reason, for example because we close the directory, we will refund the unused part of your fee.

16. Our liability

16.1 Nothing in these terms limits our liability for fraud, for death or personal injury caused by our negligence, or for anything else that cannot lawfully be limited.

16.2 Subject to 16.1, we are not liable for indirect or consequential losses, or for loss of profit, revenue or goodwill.

16.3 Subject to 16.1, our total liability under this Agreement is limited to the fees you paid us in the twelve months before the claim.

17. Events outside our control

Neither of us is responsible for failing to meet our obligations if we are prevented by something beyond our reasonable control, such as fire, flood, power failure, or a major failure of internet or telecommunications services. The affected obligations are paused for as long as the event continues. This does not excuse you from paying amounts you already owe.

18. Transferring this agreement

We may transfer or assign this Agreement, and our rights and obligations under it, to another business, for example if we sell or restructure the directory. Your membership will continue on the same terms. You may not transfer or assign your membership without our written consent.

19. Data protection

We process your contact and billing details as a controller to run your membership, in line with our privacy policy. Card payments are processed by Stripe, which has its own privacy notice.

20. General

20.1 This Agreement, together with the sales page, is the whole agreement between us about your membership, and replaces any earlier discussions.

20.2 If any part of these terms is found to be invalid or unenforceable, the rest stays in force.

20.3 Nothing in this Agreement creates a partnership or agency between us.

21. Changes to these terms

We may update these terms. If a change is material, we will tell you at least thirty days before it takes effect, and it will apply from your next renewal. If you do not accept the change, you can cancel before the renewal.

22. Governing law

This Agreement is governed by the law of England and Wales, and any dispute will be handled by the courts of England and Wales.
